General Terms and Conditions of Sale

Summary of key terms

The following is a non-binding summary of key provisions. In case of discrepancy, the full PDF document prevails.

Applicability

These conditions apply to all offers, quotations, orders, and agreements for the supply of products and services by Kriya Materials B.V. Any deviating terms of the buyer are expressly rejected unless agreed in writing.

Quotations and orders

All quotations are non-binding and valid for the period stated therein. An agreement is formed upon written confirmation of the order by Kriya Materials B.V. Specifications and technical data are provided for information purposes and are subject to reasonable variation.

Delivery

Delivery terms are Ex Works (EXW Nuth, Incoterms 2020) unless agreed otherwise in writing. Stated delivery dates are indicative and not binding. Risk of loss passes to the buyer upon delivery. Partial deliveries are permitted.

Payment

Payment is due within 30 days of invoice date, unless agreed otherwise. In case of late payment, statutory commercial interest (Dutch Civil Code 6:119a BW) applies. Kriya Materials reserves the right to require advance payment or security for new customers or large orders.

Warranty and claims

Products are warranted to conform to agreed specifications at the time of delivery. Claims must be submitted in writing within 14 days of delivery (for visible defects) or within 14 days of discovery (for hidden defects), and no later than 12 months after delivery. Warranty is limited to replacement of the defective product or credit of the invoice value, at the discretion of Kriya Materials.

Limitation of liability

Kriya Materials’ total liability shall in no event exceed the invoice value of the products giving rise to the claim. Indirect and consequential damages (including loss of profit, production losses, and third-party claims) are excluded. The buyer is responsible for independently verifying the suitability of products for their intended application.

Intellectual property

All intellectual property rights relating to the products, formulations, and technical data remain the exclusive property of Kriya Materials B.V. The buyer acquires no rights to intellectual property beyond the right to use the purchased products for their intended purpose.

Governing law and disputes

These conditions are governed by Dutch law. Any disputes shall be submitted to the exclusive jurisdiction of the competent court in Maastricht, The Netherlands.
